TIAA-CREF Investment Management, LLC ("TCIM") acts as the sole Investment manager for two of the direct shareholders, College Retirement Equities Fund - Stock Account and College Retirement Equities Fund - Global Equities Account. Tachers Advisors, Inc. ("TAI") acts as sole Investment manager of the other four direct TIAA-CREF shareholders: (I) the TIAA-CREF Funds - International Equity Index Fund, (II) the IAA-CREF Funds - International Opportunities Fund, (III) the TIAA-CREF Funds - Mid Cap Value Fund, (IV) TIAA-CREF Active Extension Funds - Active Extension Fund - Active Extension Analyst Market Neutral, LLC. Based on an investment management agreement, TAI also acts as the sole ivestment manager with respect to the seperate account held by the Bank of New York Mellon Corporation, as sponsor of The Bank of New York Mellon 401(k) pension plan, which holds unsponsored ADR's representing shares in Lonza Group AG (LZAGY) TCIM and TAI are wholly-owned by an Intermediate holding company, TIAA-CREF Asset Management, Inc., which in turn is wholly-owned by Teachers Insurance and Annuity Association of America ("TIAA") Both Investment managers, TCIM and TAI, exercise exclusive investment power or investment discretion over the investment in the shares of Lonza Group AG. TIAA exercises the voting rights relating to the shares of Lonza Group AG held by the direct shareholders, pursuant to a global proxy voting policy (TIAA-CREF Policy Statement on Corporate Governance) for investments held by TIAA-CREF related entities.Based on the TIAA-CREF Policy Statement on Corporate Governance and the investment management agreement with the Bank of New York Mellon Corporation, as sponsor of The Bank of New York Mellon 401(k) pension plan, TIAA also exercises the voting rights attributed to the holding of The Bank of New York Mellon Corporation as sponsor of The Bank of New York Mellon 401(k) pension plan.
