The settlement of the transaction is subject to a number of conditions that are expected to be satisfied over the coming weeks. Shares in Castle Private Equity AG previously were owned by the following entities (each, a "Fund ): (i) Abrams Capital Partners I, LP., a Delaware limited partnership; (ii) Abrams Capital Partners II, L.P., a Delaware limited partnership; (iii) Whitecrest Partners, LP, a Delaware limited partnership; and (iv) Great Hollow International, L.P., a Cayman Islands limited partnership. The principal place of business of each Fund is 222 Berkeley Street, 21st Floor, Boston, MA 02116, USA. The Funds no longer hold any shares of Castle Private Equity AG. The Investment manager of each Fund is Abrams Capital Management, L.P. ("Abrams LP"). The general partner of Abrams LP is Abrams Capital Management, LLC ("Abrams LLC"), a Delaware limited liability company. David Abrams is the managing member of Abrams LLC and, in such capacity, Mr. Abrams controls Abrams LLC. The principal place of business of Abrams LP and Abrams LLC is 222 Berkeley Street, 21st Floor, Boston, MA 02116, USA. Pursuant to an investment management agreement between each Fund and Abrams LP, Abrams LP makes all investment decisions and exercises all voting rights on behalf of the Funds.
