Apollo Global Management, LLC is the ultimate parent company of Apollo Capital Management, L.P., 9 West 57th Street, New York, NY 10019, USA. Apollo Capital Management, L.P. is the sole member and thus the controlling entity of the investment managers (and their respective general partners, as applicable), Apollo European Credit Management, L.P., Apollo European Strategic Management, L.P., Apollo Centre Street Management, LLC, Apollo Zeus Strategic Management, LLC, Apollo Credit Opportunity Management III LLC, Apollo Hercules Management, LLC and Apollo Union Street Management, LLC (the "Investment Managers"). Apollo Global Management, LLC is the ultimate parent company and thus the controlling entity of Apollo Europe Advisors III, L.P. (and its general partner) (the "AIE III General Partner"). The Investment Managers manage the following funds which will subscribe for shares in the Company: AEC (Lux) S.a.r.l., AESI (Holdings) II, L.P., Apollo Centre Street Partnership, L.P., Apollo Zeus Strategic Investments, L.P., Apollo Credit Opportunity Fund III AIV I LP, Apollo Hercules Partners, L.P. and Apollo Union Street Partners, L.P.; and the AIE III General Partner manages AIE III Investments, L.P., which will subscribe for shares in the Company (such funds together, the "Apollo Funds").
