WISeKey International Holding Ltd's ("WISeKey") reporting obligation was triggered by an amendment agreement (the "Amendment") dated as of June 20, 2017, entered into by and among WISeKey and Inside Secure SA regarding the convertible loan note agreement (the "Convertible Note") dated September 20, 2016, which had been disclosed pursuant to article 120 of the Swiss Financial Market Infrastructure Act and its implementing ordinance on Sep-tember 8, 2016. According to the Amendment, the maturity date of the Convertible Note, has, among other changes to the Convertible Note, been deferred to July 20, 2017. The Amendment constitutes a significant change to the Convertible Note pursuant to article 16 para. 2 of the FINMA Financial Market Infrastructure Ordinance and must be disclosed, as the Convertible Note relates to 3% or more of the voting rights attached to WISeKey shares. Because of a draw-down by WISeKey under the share subscription facility dated January 19, 2016, by and among WISeKey and, inter alia, GEM Global Yield Fund LLC SCS ("GEM"), WISeKey has also updated its sale position with respect to GEM. As a result, WISeKey's sale position has exceeded 33 1/3%, a threshold triggering additional disclosure pursuant to article 120 of the Swiss Financial Market Infrastructure Act.
