Tweedy, Browne Company LLC

Tweedy, Browne Company LLC ("TBC") is an investment adviser registered with the U.S. Securities and Exchange Commission (the "SEC"). TBC was authorized to exercise the voting rights attached to 207,655 registered shares of Siegfried Holding Ltd (collectively the "Shares"). The Shares were owned by Tweedy, Browne Global Value Fund as economic beneficiary ("TBGV", a series of Tweedy, Browne Fund Inc. with head office at One Station Place, Stamford, CT 06902 / USA). TBC was not an economic beneficiary owner of the Shares. TBC had been delegated voting authority pursuant to investment advisory agreements between TBC and TBGVF. Further, TBGVF had entered into a custody agreement with a U.S.-based custodian bank of its choosing, which bank had in turn appointed a Swiss-based sub-custodian bank to hold TBGVF s positions in Swiss securities, including the Shares. TBC instructed the U.S.-based custodian bank, which in turn directed its respective Swiss-based sub-custodian, as to the disposition, acquisition, and exercise of voting rights for the Shares owned by TBGVF.
