On January 21, 2021 SHL Telemedicine Ltd. (SHL) executed the first of two planned capital increases from authorized capital. Background: On December 17, 2020, SHL Telemedicine Ltd. (SHL) signed share purchase agreements (SPAs) with investors on the placement of a total of 3,888,889 SHL shares (300,000 treasury shares and 3,588,889 new shares to be issued from authorized capital; cf. disclosure notification published on December 23, 2020). The placements, which are subject to certain conditions, are being effectuated in two tranches: 1,600,000 shares at the First Closing (1,300,000 new shares and 300,000 treasury shares), which occurred on January 21, 2021, and 2,288,888 new shares at the Second Closing which is expected in February/March 2021. Additionally, for every two acquired SHL shares the SPAs grant one option to purchase one further SHL share, amounting to a total of 1,944,444 options.
