Grant of the option to the counterparty to receive USD 8.5 million in cash or the same value (subject to certain conditions with a 10% premium)in up to 4,000,000 registered shares to be newly issued of New Value Ltd. with a nominal value of CHF 1.00 (the Shares) based on the Share value at the time of the exercise notice, as consideration in connection with a share deal. If no choice is made by 31 January 2022, Talenthouse GmbH has the option to deliver the same amount of cash or Shares (without premium). The Shares referred to in this notice are not subject to the lock-up group disclosed with the notification published on 2 June 2021.
