The sale is intended to be completed in the first quarter of 2009. American International Group, Inc., being the beneficial owner of the companies listed under (1) to (5) below and the direct owner of: (1) AIU Holdings LLC, 70 Pine Street, New York, NY 10270, USA, which in turn is the direct owner of American International Underwriters Overseas, Ltd., 29 Richmond Road, Hamilton HM 08, Bermuda being the direct owner of shares in the Company. (2) American Life Insurance Company, One Alico Plaza, Wilmington, Delaware, DE 19801, USA, which in turn is the direct owner of AIG Life (Ireland) Limited, AIG Centre North Wall Quay, Dublin 1, Ireland, which in turn is the direct owner of Alphabetos International Funds SICAV, Level 6, the Mall Offices, The Mall, Floriana FRN 1470, Malta, being the direct owner of shares in the Company. (3) American Life Insurance Company, One Alico Plaza, Wilmington, Delaware, DE 19801, USA, being the direct owner of shares in the Company. (4) AIG Capital Corporation, 2711 Centerville Road Suite 400, Wilmington, DE 19808, USA , with head offices at 70 Pine Street, New York, NY 10270, USA, which in turn is the direct owner of AIG Global Asset Management Holdings Corp., 70 Pine Street, New York, NY 10270, USA, being the direct owner of shares in the Company. (5) AIG Private Bank Ltd., Pelikanstrasse 37, 8001 Zürich, which in turn is the direct owner of AIG Private Equity Management Ltd., 29 Richmond Road, Hamilton HM 08, Bermuda, being the direct owner of shares in the Company.
