Centaurus Capital LP

On February 7,2011, Centaurus Capital LP, operating via its general partner Centaurus Capital Ltd (both domiciled at 16th Floor, 33 Cavendish Square, London, W1G OPW, United Kingdom, "Centaurus"), has caused some its funds to acquire, in total, a position of 4.41 % in Winterthur Technologie AG (CH-170.3.022.534-5), Zug ("Winterthur") and thereby exceeded the threshold of 3%. This has been disclosed on February 11, 2011, by Centaurus for Centaurus itself (controlling all voting rights) as well as for one of the funds managed by Centaurus exceeding the threshold of 3% on a stand-alone basis (Centaurus Small and Mid Cap Investment Risk Arbitrage Fund Ltd) as legal owner. On February 8, 2011, a different fund also managed by Centaurus, Centaurus Global Catalyst Master Fund Ltd, has acquired an additional 0.85% in Winterthur bringing the total position controlled by Centaurus up to 5.26%. Due to an administrative oversight, Centaurus has not realised the impact of this trade on its total position and, in consequence, has not disclosed the position it controlled at that time. It was only on February 25, 2011, that the omission had been realised. Therefore, we would like to belatedly and retroactively disclose exceeding the 5% threshold. Centaurus LP is operating via ist general partner Centaurus Capital Ltd, 16th Floor, Cavendish Square, London, W1GOPW, UK (Investment Manager to, among others, Centaurus Small and Mid Cap Invest Risk Arbitrage Fund Ltd Of the total position of 308'665.00 shares (5.2603%) disclosed by Centaurus Capital LP (controlling all voting rights), above, 230'665.00 shares (3.9310%) are held by the following fund as legal owner: Centaurus Small and Mid Cap Invest Risk Arbitrage Fund Ltd (fund managed on a solely contractual basis by Centaurus Capital LP, operating via its general partner Centaurus Capital Ltd.)
