Increased above 3% on a consolidated basis (investment purposes only) MassMutual is the ultimate parent company of several subsidiaries, including for purposes of this matter, MassMutual Holding LLC, Oppenheimer Acquisition Corp., OppenheimerFunds, Inc. ( OFI ), OFI Institutional Asset Management, Inc. ( OFII ), OFI Trust Company ( OFITC ), MassMutual Baring Holding LLC, MassMutual Holdings (Bermuda) Limited, Baring Asset Management Limited ( BAM ), Baring International Investment Management Holdings, Baring Asset Management UK Holdings Limited, Baring International Fund Managers (Ireland) Limited and Baring Fund Managers Limited. MassMutual Holding LLC is the holding company for certain MassMutual subsidiaries, including Oppenheimer Acquisition Corp., who is the holding company for certain MassMutual subsidiaries, including OFI and its subsidiary OFII. OFITC is a direct subsidiary of OFII. MassMutual Baring Holding LLC and MassMutual Holdings (Bermuda) Limited are holding companies for certain MassMutual subsidiaries, including BAM. Baring Fund Managers Limited and Baring International Investment Management Holdings are direct subsidiaries of BAM. Baring International Investment Management Holdings is the intermediate holding company for Baring Asset Management UK Holdings Limited, which in turn is the intermediate holding company for Baring International Fund Managers (Ireland) Limited. OFI, OFII (based on delegation by its subsidiary OFITC) and BAM (based on delegation by its subsidiaries Baring Fund Managers Limited and Baring International Fund Managers (Ireland) Limited) are investment managers that independently exercise their respective voting powers on behalf of their clients and investment fund whose assets they are managing.
