(published July 17, 2010) MassMutual is the ultimate parent company of several subsidiaries, including for purposes of this matter: MassMutual Holdings LLC; Oppenheimer Acquisition Corp.; OppenheimerFunds, Inc. ("OFI"); OFI Trust Company ("OFITC"); and OFI Institutional Asset Management, Inc. ("OFII"). MassMutual is a mutual life insurance company. As a mutual company, MassMutual does not have shareholders and is not publicly traded on any stock exchange. Instead its policy owners and members are often described as sharing in its ownership. OFI, OFITC (based on delegation to its parent, OFII), and OFII are investment managers that independently exercise their respective voting powers on behalf of the clients and investment funds whose assets they are managing.
