Acquisition of shares in Absolute Private Equity Ltd by certain members of the HarbourVest group through a public tender offer which is still subject to certain conditions and which is anticipated to be settled on September 13, 2011. HarbourVest Acquisition GmbH is a special purpose vehicle for the acquisition of Absolute Private Equity Ltd by the entities ultimately managed and controlled by HarbourVest Partners, LLC, as described in Part 1 Absolute Private Equity Ltd is the target of the tender offer which HarbourVest Partners, LLC made through entities ultimately managed and controlled by HarbourVest Partners, LLC. HarbourVest Acquisition S.à r.l., one of the entities ultimately managed and controlled by HarbourVest Partners, LLC, entered into a transaction agreement with Absolute Private Equity on April 25, 2011.
