Voting Agreement dated February 7, 2012 The shares in Castle Private Equity AG that are owned by the group are directly owned by the following entities: (i) Abrams Capital Partners I, L.P., a Delaware limited partnership - 537,324 shares; (ii) Abrams Capital Partners II, L.P., a Delaware limited partnership - 6,570,713 shares; (iii) Whitecrest Partners LP, a Delaware limited partnership - 867,218 shares; (iv) Great Hollow International L.P., a Cayman Islands limited partnership - 562,367 shares (each of the entities referenced in clauses (i) through (iv) above, an "Abrams Fund"; collectively, the "Abrams Funds"); and (v) Ironsides Partners Opportunity Master Fund, L.P., a Cayman Islands limited partnership - 2,629,401 ("Ironsides"). The principal place of business of (a)each Abrams Fund is 222 Berkeley Street, 22nd Floor, Boston, MA02116, USA, and (b) Ironsides is 100 Summer Street, Suite 2705, Boston, MA02110, USA. The investment manager of each Abrams Fund is Abrams Capital Management, L.P. ("Abrams LP"). The general partner of Abrams LP is Abrams Capital Management, LLC ("Abrams LLC"), a Delaware limited liability company. David Abrams is the managing member of Abrams LLC and, in such capacity, Mr. Abrams controls Abrams LLC. The principal place of business of Abrams LP and Abrams LLC is 222 Berkeley Street, 22nd Floor, Boston, MA02116, USA. The investment manager of Ironsides is Ironsides Partners LLCI a Delaware limited liability company. RCK Holdings LLC, a Delaware limited liability company, is the managing member of Ironsides Partners LLC. Robert Knapp is the managing member of RCK Holdings LLC and, in such capacity, Mr. Knapp controls Ironsides Partners LLC and RCK Holdings LLC. The principal place of business of Ironside Partners LLC is 100 Summer Street, Suite 2705, Boston, MA02110, USA. Pursuant to an investment management agreement between each Abrams Fund and Abrams LP, Abrams LP makes all investment decisions and exercises all voting rights on behalf of the Abrams Funds. Pursuant to an investment management agreement between Ironside and Ironsides Partners LLC, Ironsides Partners LLC makes all investment decisions and exercises all voting rights on behalf of Ironsides.
