As a part of the sale of a business from Cephalon to Acino Holding AG, it was contemplated that a portion of the purchase price could be paid by Acino by the issuance of EUR 20 million of Acino Holding AG shares, if such shares were not sold to third parties prior to completion of the transaction. However, at completion of the transaction on February 17, 2012 the purchase price was satisfied wholly in cash, no shares of Acino Holding AG were delivered to Teva/Cephalon, and Teva/Cephalon ceased to have any equity interest in Acino at this date.
