LECLANCHE SA issued to Talisman Infrastructure International Ltd 832,827 Series A Warrants and 594,876 Series B Warrants as compensation for services rendered in connection with restructuring of LECLANCHE SA. and in particular the retention of Precept Fund Management SPC as a new investor. Mr Mangion and Mr Wilkinson are business partners and joint directors and shareholders of Talisman Infrastructure International Ltd., which is governed by Memorandum and Articles of Association. There is no separate Shareholders Agreement. The shares in Talisman Infrastructure International Ltd. are held by J. Mangion (50%) and E. Wilkinson (50%)
