Extension of the group and crossing of 20% threshold on 11 December 2013 as well as falling below the 5% threshold in the sort position on 17 December 2013. Travel Retail Investment S.C.A., 412F, route d'Esch, L-2086 Luxembourg, holds all the shares and financial instruments attributable to the group with the exceptions mentioned further below. Travel Retail Investment S.C.A. is held as follows: Petrus PTE Ltd, 8 Cross Street, #11-00 PWC Building, Singapore 048424, holds the majority of the shares in Travel Retail Investment S.C.A. and the majority of the shares in Travel Retail S.à.r.l., 412F, route d'Esch, L-2086 Luxembourg which is the general partner and sole manager of Travel Retail Investment S.C.A. Petrus PTE Ltd, is held by the revocable The Bingo Trust, New Zealand; Andrés Holzer Neumann is the settlor of The Bingo Trust and exercises indirect control over The Bingo Trust. Travel Retail Investment S.C.A. holds part of the shares and all financial instruments. Witherspoon Investments LLC, a company organized under the laws of Delaware and having its registered office at 1209 Orange Street, Wilmington, Delaware, 19801 USA, will be entirely held directly by Juan Carlos Torres (after completion of the shareholders agreement). Witherspoon Investments LLC holds a minority of shares in Travel Retail S.à.r.l. and in Travel Retail Investment S.C.A. Julian Diaz Gonzalez will (after completion of the shareholders agreement) hold directly a minority interest in Travel Retail Investment S.C.A. and a minority of shares in Travel Retail S.à.r.l. EXEPTIONS FROM SHARES HELD THROUGH TRAVEL RETAIL INVESTMENT S.C.A.: Julian Diaz Gonzalez holds certain shares in Dufry AG directly. Andrés Holzer Neumann holds a number of shares directly. The remaining shares attributable to Mr. Holzer are directly held by (i)Petrus Pte., Ltd. (address and control cf. above) (ii)Consorcio Metropolitano Inmobiliario, S.A, de C.V.; Inmobiliaria Coapa Larca, S.A. de C.V.; Holzer y Cia, S.A. de C.V.; Negocios Creativos, S.A. de C.V.; and Inmobiliaria Castellanos, S.A. de CV (all with their address at Campos Eliseos No. 345, Piso 10, Cuidad de Mexico 11560). All of these companies are directly held by Grupo Industrial Omega, S.A. de C.V., Campos Eliseos 345, Piso 10, Ciudad de Mexico 11560, which is controlled by Mr. Holzer Neumann. (iii)Grupo Industrial Omega, S.A. de C.V. (address and control cf. above) James S. Cohen holds all his shares partly directly, partly through Hudson Media, Inc.; One Meadowlands Plaza, Suite 902, East Rutherford, NJ 07073, USA, which he controls. James S. Cohen Family Dynasty Trust holds all its shares directly. Mr. Cohen is the Grantor of this irrevocable trust and is entitled to remove or replace the Trustee and appoint a successor Trustee provided such successor Trustee is independent and not related to the Grantor or any Trustee under the terms of the Trust Instrument. Mr. Cohen is not a beneficiary of the trust. Dimitrios Koutsolioutsos holds his shares in Dufry AG indirectly through Foili Follie Commercial Industrial and Technical S.A., a listed company incorporated under the laws of Greece and having its registered office at 23rd Km Athens Lamia National Road, 145 65 Agios Stephanos, Greece. Dimitrios Koutsolioutsos controls Folli Fallie Commercial Industrial and Technical S.A. according to Greek law. Mr. Koutsolioutsos holds shares in Folli Follie Commercial Industrial and Technical S.A. directly and indirectly through Cordial Worldwide Ltd, a company incorporated under the laws of the British Virgin Islands and having its registered office at Road Town, Tortola, British Virgin Islands. Cordial Worldwide Ltd is fully owned by Mr. Koutsolioutsos. There are now three shareholders agreements: Shareholders Agreement among Petrus Pte., Ltd., Witherspoon Investments LLC, Mr. Diaz Gonzalez, Mr. Torres and Travel Retail S.á.r.l.
