Lock-up group disclosed in Prospectus. Lock-up group disclosed in the prospectus Freesailors has five members, Fabio Cannavale, Vulcano S.r.l., Consortium Real Estate S.A., Lombard International Assurance S.A. (4 Rue Lou Hemmer, L-1748 Luxembourg, Luxembourg), and Redpill S.r.l.(Via Luigi Capranica 18, Milan, Italy). Each has one vote on all resolutions to be taken by the general meeting of Freesailors. All resolutions of the members of Freesailors require a majority of the votes cast. Mr. Fabio Cannavale, controls Vulcano S.r.l., Via Olmetto 1, Milan, Italia, and Consortium Real Estate S.A., Rue Royale 97, Brussels, Belgium. He therefore also controls Freesailors. Redpill S.r.l. is controlled by Mr. Marco Corradino who is a co-founder of the Company. Freesailors holds 5,200,000 shares, corresponding to 35.7% of the capital and voting rights of the Company. Arepo Fiduciaria holds 41,600 shares on behalf of Francesco Signoretti. Mr Signoretti holds in addition 300,000 shares (341,600 shares in total, equal to 2.3% of the capital and voting rights) and 200,000 employee stock options (representing 1.4% of the capital and voting rights), totalling purchase positions equal to 541,600 or 3.7% of the capital and voting rights.
