Entry into Settlement Agreement (with respect to, amoung else, a previous agreement) created the obligations of Recharge (i) to assign a portion of its financial instruments (fulfilled on 15 June 2016) and (ii) convert the remaining financial instruments (conversion declared on 16 June 2016, transfer of shares to occur in accordance with the applicable agreements).
