In a commitment letter dated July 5, 2016, AEVIS VICTORIA SA, a company majority-owned by a group composed of (i) Antoine Hubert, Montana, (ii) Géraldine Hubert-Reynard, Montana (iii) Michel Reybier, Coppet, and entities owned directly or indirectly by them bound by a shareholders' agreement and represented by Antoine Hubert, has undertaken to purchase any new shares not taken up in the capital increase of LifeWatch AG by existing shareholder during the rights exercise period. On July 5, 2016, the commitment corresponded to 37% of shares and to 0% of voting rights of LifeWatch AG. The capital increase was registered with the commercial register of the canton of Zug on July 13, 2016. The disclosed number of shares and voting rights of 27% is based on the calculation as per July 13, 2016, following the registration of the capital increase in the commercial register of the canton of Zug.
