Conditional Right to acquire new shares pursuant to a Combination Agreement entered with Kuros Biosciences AG on 18 December 2016: 1'365'000 shares of Kuros Biosciences Ltd acquired at closing of the Combination Agreement and 740'000 shares of Kuros Biosciences Ltd to be acquired on the achievement of certain product approval milestones. A) Incubation B.V., Bilthoven, controlled by (i) Dagomar B.V., Echteld, the Netherlands, a company controlled by Person 1 and (ii) Dr. C.A. van Blitterswijk Holding B.V., Ruigahuizen, the Netherlands, a company controlled by Person 2; (B) Aldabra B.V., Amersfoort, the Netherlands, a company controlled by Person 3 and (C) Person 4 shall acquire the shares.
