On 13 August 2018, the mandatory convertible securities issued by CEVA Logistics AG to CMA CGM S.A. were mandatorily converted into registered shares of CEVA Logistics AG. On 19 April 2018, CEVA Logistics AG and CMA CGM S.A. entered into a relationship agreement concerning the investment of CMA CGM S.A. in CEVA Logistics AG, in which CMA CGM S.A. agreed, inter alia, to vote all shares held by it directly or indirectly in any ordinary and extraordinary shareholders' meeting of CEVA Logistics AG in favour of the candidates for the board proposed by the board of directors. As a consequence, CEVA Logistics AG and CMA CGM S.A. are deemed to be acting in concert for purposes of the disclosure of shareholdings pursuant to art. 120 et seqq. FMIA. The beneficial owners of CMA CGM S.A. are Rodolphe Jacques Saadé, Tanya Saadé Zeenny and Jacques Junior Saadé, who are deemed to be acting in concert for purposes of the disclosure of shareholdings pursuant to art. 120 et seqq. FMIA. in consequence of a shareholders' arrangement amongst them. Going forward, CEVA Logistics AG and Rodolphe Jacques Saadé, Tanya Saadé Zeenny and Jacques Junior Saadé, who are the beneficial owners of CMA CGM S.A., will report purchase and sale positions together. The basis of calculation (denominator) for the disclosed percentage of voting rights, pursuant to art. 14 para. 2 FMIO-FINMA, has been the 41'361'537 registered shares entered into the Commercial Register on the date of the conversion, which do not yet include the 13'779'826 registered shares newly issued to CMA CGM S.A. upon conversion of the mandatory convertible securities. If the newly issued shares were included in the denominator of the calculation, the disclosed total purchase position of 13'811'942 registered shares would correspond to 25.05 per cent. of all voting rights in CEVA Logistics AG. In this context, the Swiss Takeover Board exempted Rodolphe Saadé, Tanya Saadé Zeenny, Jacques Junior Saadé and CMA CGM S.A. from the obligation to make a public takeover offer to the shareholders of CEVA Logistics AG as a result of the conversion of the mandatory convertible securities in an amount of CHF 378'945'215 into 13'779'826 new shares of CEVA Logistics AG.
