On September 7, 2021, Westminster Bidco S.à r.l., Luxembourg, Grand Duchy of Luxembourg, entered into an agreement to sell all its shares in SoftwareONE Holding AG. Upon closing of such sales transaction on September 10, 2021, Westminster Bidco S.à r.l. is no longer party to the sell-down coordination agreement referred to above. Consequently, Westminster Bidco S.à r.l. and its beneficial owners (i.e. funds advised by affiliates of Kohlberg Kravis Roberts & Co LP) no longer form part of the group subject to reporting obligation.
