Implementation of the transaction agreement of 29 March 2022 between Perfect Holding SA and Kinarus AG, as a result of which (i) the existing group has fulfilled its purpose, which leads to the dissolution of the group disclosed following the signature of the transaction agreement, and (ii) the historical disclosed group of shareholders of Perfect Holding SA is reformed and now includes the conversion rights acquired by The Fighter Collection Ltd., a company beneficially owned by Mr. Nicholas Grey, as a result of the implementation of the transaction.
