On 14 March 2024, DESRI Acquisition Holdings, L.L.C. has committed to purchase shares that have not been subscribed for in Meyer Burger's rights offering in a total amount of up to USD 20 million (CHF 17.596 million at USD/CHF exchange rate as of 14 March 2024). The disclosure position relating to such commitment and as shown in this notice is calculated on the basis of the number of Meyer Burger shares issued on 14 March 2024 (i.e., before giving effect to the capital increase and reduction of nominal value as resolved at Meyer Burger's EGM of 18 March 2024) and a subscription price of CHF 0.01 per share. Moreover, in connection with the above-mentioned commitment, DESRI Acquisition Holdings, L.L.C. agreed vis-à-vis Meyer Burger on a lock-up undertaking of 4 months since the first trading day of the shares newly issued in Meyer Burger's rights offering.
