Under the terms and subject to the conditions of a Subscription and Share Purchase Agreement dated 26 May 2026, the company transferred 4,970,000 treasury shares to Neuro.io Group SA on 29 May 2026. The company further agreed to deliver 28,509 mandatory convertible bonds to Neuro.io Group SA of a principal amount of CHF 2,850,900. On or about 15 June 2026, the company will deliver 40,000 additional mandatory convertible bonds to Neuro.io Group SA of a principal amount of CHF 4,000,000. The aggregate principal amount of the mandatory convertible bonds issued by the company to Neuro.io Group SA will then amount to CHF 6,850,900. The mandatory convertible bonds can be converted from the period comencing 15 June 2026 up to and including 25 May 2027 and will be automatically converted into company registered shares on 25 May 2027.
