Jean-Paul Clozel

As disclosed in the disclosure notification dated March 3, 2025, Jean-Paul Clozel had entered into a lock-up agreement dated February 25, 2025 with, among others, Idorsia Ltd (the "Company"), Idorsia Pharmaceuticals Ltd ("IPL") and certain other bondholders (the "Lock-Up Agreement") and a backstop letter agreement dated February 25, 2025 with the Company, IPL and certain other bondholders (the "Backstop Letter", collectively the "Agreements"). In connection with the settlement of the repurchase offer launched by the Company on June 25, 2025, and pursuant to the Agreements, Jean-Paul Clozel (i) received certain registered shares of the Company and (ii) was granted certain warrants.
